It expanded by opening the Berlin office in 1997 and the Frankfurt office in 2006. We advise listed companies on corporate structuring and finance, governance, management liability, stock options and other incentive programs, on extraordinary and on routine corporate issues. We also advise closely held companies. We are particularly strong in mergers and acquisitions and other corporate transactions, such as share deals, asset deals (including asset purchases from bankrupt estates), take-over offers and reorganizations. Many transactions in which we are involved are cross-border transactions, often with the participation of investors of Anglo-Saxon origin. In our M&A practice, we draw also on our experience in other areas of law relevant in the context of a transaction (including labor law). According to a recent survey (JUVE Handbuch für Wirtschaftskanzleien 2005/2006) our firm is a leader among medium-sized law firms (up to fifty lawyers) in Germany in the field of mergers and acquisitions. We are also being retained in critical situations during the life of a company, including complex disputes among shareholders, crisis management and succession planning.REAL-ESTATE DEVELOPMENTWe advise on real estate transactions, property-based financing and the structuring of both open-ended and closed real-estate investment funds. We have extensive experience in the structuring and implementation of real estate purchases and sales. In that respect we advise large institutional investors that purchase commercial real estate for their investment portfolios. We usually provide our services throughout the course of the entire project, i.e. the establishment of the investment company, the structuring of the participations and the preparation of prospectus documents targeted at prospective investors.
