Our capacity to assist clients on an international level allows us to deal with each aspect of complex operations which involve different jurisdictions from the preliminary stage of the letter of intent to the due diligence and also to the drafting and signature of the relevant acquisition contracts. The Firm has assisted, both in Italy and abroad, commercial and industrial businesses and financial institutions in the setting-up of companies, corporate joint ventures, "raggruppamenti temporanei di imprese" - including the negotiation of shareholders agreements and other types of contracts of collaboration between the parties - for the acquisition of private equity, assignment of businesses and corporate branches, allotments in kind and by shares. The Firm has also supervised the financing of projects in various industrial sectors in the context of wider economic-financing operations aimed at the realisation of works and/or the management of services.Corporate Governance - The Firm gives advice in relation to all aspects of company law of an ordinary character, supplying legal opinions and assistance for the incorporation of companies, drafting of the memorandum and articles of association, advice for shareholders' meetings and the meetings of the board of directors and, also, the qualified services of a company secretary (preparation of the minutes of the shareholders' and board of directors' meetings, powers of attorney and, in general, the organization of the corporate powers).PUBLIC WORKSThe Firm provides judicial and extra judicial advice on public procurement contracts for works, supplies and services. In addition to advising on the principles of the Legge Merloni (law of 11th February 1994, n.109), the legge Antimafia (law of 19th March 1990, n. 55) and the legislative decrees on the excluded sectors (Legislative Decree 17th March 1995, n. 158), the Firm also takes care of the organisation of all the acts and documents necessary for the submission of tenders (call for tenders, invitation to tender, regulations) and also the creation of judicial structures (consortia, "riunioni temporanee di imprese", joint ventures) geared to fulfil the technical and financial conditions required by the contracting authorities.ARBITRATION AND ADRThe Firm has a strong disposition towards the diffusion and use of alternative dispute resolution and arbitration. Jacopo Monaci Naldini is a lawyer specialised in this field and is a member of the London "Chartered Institute of Arbitrators" and of a working group for the study of and training in extra-judicial instruments for the resolution of disputes, set up by the Chamber of Commerce in Florence ("Gruppo di Lavoro per lo Studio e la Formazione in Materia di Strumenti Extragiudiziali per la Soluzione delle Controversie"). He also lectures on arbitration at the same Chamber of Commerce. The lawyers of the Firm act as arbitrators, as counsels and manage the procedure for the recognition and enforcement of arbitration awards.LITIGATION AND DEBT RECOVERYAlthough the main activities of the Firm are of extra-judicial nature, we do undertake civil and commercial litigation for foreign individuals or corporations. Since 1990, he has always renewed his driver's licence issued by the "Fédération Internationale de Motocyclisme" (FIM) or by the "Federazione Motociclistica Italiana" (FMI) and in 1998 he obtained from the latter a diploma allowing him to act as a manager of the FMI, after having followed an in-depth course covering areas such as marketing and communication, sport management, training of athletes, judicial and legislative issues and justice in sport.
